RASEED — TERMS AND CONDITIONS

Effective Date: July 9, 2026

These Terms and Conditions ("Terms") govern your access to and use of Raseed (the "Service"), operated by FineIT Private Limited ("Raseed," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. DESCRIPTION OF SERVICE

Raseed is an invoicing tool for freelancers, with features including multi-currency invoice generation, withholding tax (WHT) and PSEB tax tracking/display, recurring invoices, payment reminders, and invoice sharing via email and WhatsApp. Raseed does not process, hold, or transfer payments on your behalf — see Section 5.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@fineit.io if you suspect unauthorized access to your account.

3. ACCEPTABLE USE

You agree not to use the Service to:

• a. Create, send, or share fraudulent, deceptive, or fictitious invoices, including invoices for goods or services that were not actually provided;
• b. Send invoices, reminders, or WhatsApp/email share links to individuals who are not your actual clients, or otherwise use the Service's sharing features for spam or unsolicited messaging;
• c. Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• d. Attempt to gain unauthorized access to the Service, other users' accounts or data, or the infrastructure supporting the Service;
• e. Use the Service for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.

We reserve the right to investigate suspected violations and to suspend or terminate accounts in violation of this section (see Section 10).

4. NOT A PAYMENT PROCESSOR

Raseed does not process, hold, transmit, or guarantee any payment. Payment account details (e.g. Payoneer, bank, Wise) that you add to your profile and that appear on your invoices are provided by you and displayed for your clients' reference only. All payment arrangements, transfers, and disputes occur directly between you and your client, and Raseed is not a party to and bears no responsibility for the outcome of any such transaction.

5. TAX AND COMPLIANCE DISCLAIMER

Raseed calculates and displays withholding tax (WHT) and PSEB-related figures based on rates and settings that you configure. This functionality is provided for informational and record-keeping convenience only. Raseed is not a tax advisory service, does not file taxes on your behalf, and does not replace filing with the Federal Board of Revenue (FBR), registering with PSEB, or consulting a qualified tax professional. You are solely responsible for the accuracy of any tax rates you enter and for your own tax compliance obligations. Raseed is not liable for any penalty, loss, or liability arising from tax decisions made using figures generated by the Service.

6. YOUR DATA AND CONTENT

You retain ownership of the invoice data, client information, and other content you input into the Service ("Your Content"). You are solely responsible for the accuracy and legality of Your Content, including having any necessary rights or consents to store your clients' contact and payment information within the Service. You may permanently delete Your Content and your account at any time via the account deletion feature in Settings; once deleted, this data cannot be recovered.

7. SERVICE AVAILABILITY

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation and are not liable for any loss arising from downtime, data loss, or service interruption, except where required by applicable law.

8. INTELLECTUAL PROPERTY

The Service, including its design, software, and branding, is the property of FineIT Private Limited and is protected by applicable intellectual property laws. These Terms do not grant you any right to use Raseed's name, branding, or trademarks without prior written consent.

9. TERMINATION

We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive conduct, or used the Service in a way that harms Raseed, other users, or third parties. You may stop using the Service and delete your account at any time.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Raseed and FineIT Private Limited shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or business opportunity, arising from your use of or inability to use the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim.

11. INDEMNIFICATION

You agree to indemnify and hold harmless FineIT Private Limited from any claim, liability, damage, or expense (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

12. CHANGES TO THESE TERMS

We may update these Terms from time to time. Material changes will be reflected by updating the "Effective Date" above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. GOVERNING LAW

These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles, regardless of the country in which you or your clients are located.
